I can help draft, negotiate & review contracts for businesses, at affordable rates.
My name is Brian Heller and I'm a partner at a new and different kind of law firm, Outside GC.
OGC is a unique law firm that offers the relationship and experience of a traditional law firm with the cost savings and speed of an alternative legal services provider. By combining top-notch legal talent and significant business acumen, our OGCs deliver the value and efficiency of an in-house lawyer, without adding to our client’s headcount or sacrificing quality. With 100+ attorneys, OGC serves companies of all sizes either as a fractional general counsel or as a seamless extension to an existing legal department. OGC’s approach is simple: We offer practical legal advice and less over-lawyering.
OGC provides an innovative way of providing Legal Services, designed from the ground up for Today’s Generation. We combine the best aspects of various types of legal resources:
(1) In-House Lawyers – We’ve all worked in-house as General Counsels (GCs) or other senior business and legal advisors, in startups and large hi-tech companies;
(2) Outside Counsel – We’ve all been trained in top tier law firms, and we have over 100 partners to provide a “deep bench” of expertise in a wide variety of practice areas. Hire one of us and get access to all of us;
(3) Alternative Legal Services Providers – We have no offices so we can charge you less that 1/3 what you’d pay at a large law firm; We provide Fractional, flexible services, on-demand.
You can find any one of these elsewhere – but you can only find all three at OGC.
-----------------------
I worked at a big NYC law firm (Shearman & Sterling), then a big DC law firm (Akin Gump), then in-house in a tech company (AOL, back when they were doing great). Then I went to a Private Equity owned startup trying to find an exit (Globalspec, successfully sold to IHS for $135 million).
I've done Business Development and Corporate Development work, as well as working as a Lawyer.
I've negotiated and drafted contracts not only as a lawyer, but also as their client.
I've been in your shoes.

Who needs a business lawyer to review commercial contracts and online legal terms and conditions?
You do.
Do you sell anything? You have customer contracts. When’s the last time a lawyer reviewed your template agreement? Do your customers ever insist on using their contract? Do you have a lawyer read it?
Do you buy anything? You have vendor contracts. Who reviews contracts sent by vendors (software/SaaS, advertising, hosting, web dev, consultants, etc.)
Do you hire anyone? You have employment and independent contractor agreements. Who drafts or reviews these agreements?
Do you have any websites or apps? When’s the last time a lawyer reviewed your Terms of Use & Privacy Policy?
Do you collect or use any data? Do you have a good privacy lawyer? See above re customer and vendor agreements (are you allowed to collect and use the data you need from customers; how can your vendors use the data they can access)?
Do you have any intellectual property? Do you have a good IP lawyer?
You need OGC.
